1. Agreement to Terms
By accessing or using TaxIQ Australia ("the Platform"), operated by EvolveMInds Pty Ltd (ABN pending) ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.
2. Description of Service
TaxIQ is a multi-tenant B2B SaaS platform that enables Australian accounting firms and registered tax agents to white-label a tax advisory portal for their clients. The Platform provides tax analysis, strategy recommendations, AI-assisted copilot, and client management tools.
3. Eligibility
The Platform is intended for use by Australian accounting firms, registered tax agents, and their authorised clients. You must be at least 18 years of age and have the legal capacity to enter into these Terms.
4. Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
5. Acceptable Use
You agree not to:
- Use the Platform for unlawful purposes
- Attempt to gain unauthorised access to any part of the Platform
- Interfere with or disrupt the Platform's infrastructure
- Upload malicious content, viruses, or harmful code
- Reverse-engineer, decompile, or disassemble the Platform
- Resell access without a valid white-label subscription
6. Subscriptions and Payment
Paid plans are billed monthly or annually via Stripe. Prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. We may change pricing with 30 days' written notice. Refunds are provided in accordance with Australian Consumer Law (ACL).
7. Tax Information Disclaimer
All tax information, strategies, and AI-generated content provided through the Platform is general information only and does not constitute personal tax, financial, or legal advice. Users must consult a registered tax agent or qualified professional before acting on any information provided.
8. AI-Generated Content
The Platform uses artificial intelligence to generate tax analysis and recommendations. AI-generated content is clearly labelled and must not be relied upon as a substitute for professional advice. We do not guarantee the accuracy, completeness, or currency of AI outputs.
9. Intellectual Property
All Platform content, code, designs, trademarks, and documentation are owned by EvolveMInds Pty Ltd or its licensors. White-label subscribers receive a limited, non-exclusive licence to use the Platform under their own branding for the duration of their subscription.
10. Privacy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in accordance with the Privacy Act 1988 (Cth).
11. Limitation of Liability
To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, or consequential damages. Our total liability is limited to the fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes or limits consumer guarantees under the Australian Consumer Law.
12. Indemnification
You agree to indemnify and hold harmless EvolveMInds Pty Ltd, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform or breach of these Terms.
13. Termination
We may suspend or terminate your account at any time for breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales. Nothing in these Terms excludes or limits the operation of the Competition and Consumer Act 2010 (Cth).
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
